Timothy M. Fulmer

In Tim Fulmer’s role as counsel for eds America, he frequently coordinates the negotiation and preparation of the various documents required to successfully close real estate acquisition and construction projects. He is also coordinates the legal aspects of sale and lease transactions in which eds America is involved.
In his private law practice, Tim provides counsel to closely held business clients. Working closely with clients, he gains an in-depth understanding of their business operations and objectives. This allows him to provide pro-active, client-centered counsel. He places an emphasis on comprehensive planning for businesses and business owners. Much of his time is spent representing clients in transactions involving the sale or acquisition of businesses.
In his representation, Tim frequently coordinates and oversees:
• Negotiation and drafting of contracts including real estate, licensing agreements, and leases
• Corporate governance compliance
• Counseling officers and directors on fiduciary duties and strategic considerations
• Employment matters, including hiring, retention, termination and employee handbook
• Risk management
• Regulatory issues

Tim also has other business activities related to real estate and construction, one of which is his role as the Executive Director and General Counsel of Construction Lawyers Society of America (an invitation only, selective and limited membership international association of construction lawyers).
